Welcome to RetailCoder. These Terms of Service outline the rules and regulations for the use of our Order Management System. By accessing or using the platform, you agree to be bound by these terms.
1. Acceptance of Terms
By accessing or using RetailCoder OMS ("Service"), you agree to be bound by these Terms. If you do not agree to all the terms and conditions of this agreement, then you may not access the Service.
2. License & Access
Your license depends on the specific subscription tier you have selected:
Cloud Plans (Starter / Growth)
We grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the hosted Service via a web browser strictly for your internal business operations.
Enterprise Plan (Self-Hosted)
You are granted a license to deploy the source code on your own infrastructure. While you own the specific modifications you make to the platform, you may NOT resell, redistribute, sub-license, or white-label the core RetailCoder source code as a competing SaaS product.
3. User Responsibilities
As a user of the Service, you are strictly responsible for:
- Maintaining the absolute confidentiality of your API keys, passwords, and administrative access.
- Ensuring your connected product listings and business operations comply with applicable local and international laws.
- All activity that occurs under your account. RetailCoder cannot and will not be liable for any loss or damage arising from your failure to comply with this security obligation.
4. Limitation of Liability
To the maximum extent permitted by law, RetailCoder shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or inventory discrepancies resulting from your use of the Service.
The Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. While we utilize enterprise-grade infrastructure to strive for 99.9% uptime, we do not guarantee entirely uninterrupted or error-free service.
5. Termination
We may terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach the Terms (e.g., attempting to hack the platform, continuous non-payment of subscription fees, or reselling source code illegally).
6. Cross-Border Data Transfers (DPA)
To provide our global services, we may transfer, process, and store Amazon Information (including Personally Identifiable Information - PII) outside of your registered country.
Destination Countries
Data is primarily transferred to and hosted in Ho Chi Minh City, Vietnam (Greencloud Infrastructure).
Legal Basis for Transfers
We rely on Standard Contractual Clauses (SCCs) issued by the European Commission and the UK Information Commissioner's Office (ICO) as our primary legal basis for legitimizing international data transfers. By accepting these terms, you agree to our DPA incorporating these SCCs.
Data Protection Safeguards
- End-to-end encryption in transit (TLS 1.2+) and at rest (AES-256).
- Strict role-based access control (RBAC) and mandatory MFA for all internal systems.
- Continuous security monitoring and automated vulnerability scanning.
7. Acceptable Use & Data Sources
To maintain compliance with external marketplace requirements (e.g., Amazon Acceptable Use Policy), you must adhere to strict guidelines regarding data sources and imports.
Authorized Data Sources
All Amazon Information processing within RC-OMS must be sourced exclusively via the official Amazon SP-API. The use of web scraping, third-party data brokers, or unauthorized Amazon APIs is strictly prohibited and will result in immediate account termination.
Prohibited Data Imports
While we provide APIs and CSV tools for you to import your Product Catalog (SKUs, Pricing, HSN Codes), you are explicitly forbidden from importing Amazon Personally Identifiable Information (PII) via these secondary channels. The import APIs are strictly reserved for non-Amazon channel data and catalog management.
8. Prohibited Activities (Marketplace Compliance)
To ensure compliance with the Amazon Acceptable Use Policy (AUP) and other marketplace standards, you are explicitly prohibited from using RetailCoder OMS to facilitate any of the following activities:
Brushing & Review Manipulation
You may not use this system to generate fake orders, send unsolicited products to customers ("Brushing"), or manipulate reviews and ratings on any connected marketplace (AUP 1.1).
Intellectual Property Infringement
You may not use this system to process orders for counterfeit goods or to infringe upon the intellectual property rights of any brand or individual (AUP 2.6).
Facilitating Agreement Violations
You may not use RetailCoder to facilitate or promote any violation of the Amazon Services Business Solutions Agreement or falsely advertise features outside of the scope of order fulfillment (AUP 1.2, 2.1).
